1. Acceptance of Terms

By accessing or using the website and services provided by AI BIZ SOLUTIONS ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

AI BIZ SOLUTIONS provides AI consulting, training, strategy, and software-related services as described on our website and in individual service agreements. All services are delivered as specifically described in the applicable proposal, statement of work, or service agreement entered into between the Company and the client.

3. Intellectual Property

Unless otherwise agreed in writing, the following intellectual property principles apply:

• All deliverables, custom tools, frameworks, and materials created specifically for a client as part of a paid engagement become the property of the client upon full payment.
• Proprietary frameworks, methodologies, and pre-existing tools developed by AI BIZ SOLUTIONS (including the RAISES, A²C²T-R, and ACCIS frameworks) remain the exclusive intellectual property of AI BIZ SOLUTIONS.
• Clients are granted a license to use proprietary frameworks as delivered in their specific engagement but may not reproduce or redistribute them without written consent.

4. Payment Terms

Payment terms are defined in each individual service agreement or proposal. Subscription fees are billed in advance. Consulting and project fees are due as specified in the statement of work. Late payments may incur interest or suspension of services at the Company's discretion.

5. Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, AI BIZ SOLUTIONS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, even if advised of the possibility of such damages. Our total liability for any claim related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, reliability, or suitability of our services for a particular purpose. AI recommendations and outputs are advisory in nature and should not replace professional judgment.

8. Termination

Either party may terminate a service agreement with written notice as specified in that agreement. Upon termination, all outstanding fees become immediately due and payable. Sections relating to intellectual property, confidentiality, and limitation of liability survive termination.

9. Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Indiana, United States of America, without regard to its conflict of law provisions. Any legal proceedings shall be brought in the appropriate courts located in Indiana.

10. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes constitutes your acceptance of the revised terms.
